Terms of Service

By downloading, installing, or using the Fyll mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

Fyll is operated by MPTEE UNIGROUP DISTRIBUTION LLC, a New York limited liability company ("we," "us," or "our").

Fyll is an AI-powered nutrition tracking application designed to help users:

• Log meals through photos or text descriptions
• Receive AI-estimated nutritional information
• Track eating patterns and their effects on energy and mood
• Receive personalized wellness insights and coaching tips

To use Fyll, you must:

• Be at least 13 years of age (or the minimum age in your jurisdiction)
• Be capable of forming a binding contract
• Not be prohibited from using the App under applicable law

If you are under 18, you must have parental or guardian consent to use the App.

4.1 Account Creation

To access Fyll's features, you must create an account by providing:

• A valid email address
• A secure password (minimum 8 characters, including letters and numbers)
• Your first name

4.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

We are not liable for losses caused by unauthorized use of your account.

4.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and keep it updated.

5.1 You Agree To:

• Use Fyll only for lawful, personal purposes
• Provide accurate meal information to the best of your knowledge
• Respect the intellectual property rights of others
• Keep your account credentials secure

5.2 You Agree NOT To:

• Share your account with others
• Attempt to reverse-engineer, hack, or compromise the App
• Use the App for any commercial purpose without authorization
• Upload malicious content, viruses, or harmful code
• Harass, abuse, or harm others through the App
• Violate any applicable laws or regulations
• Create fake or misleading accounts
• Circumvent security measures or rate limits

5.3 Content Standards

Any content you provide (meal descriptions, notes, feedback) must not:

• Be illegal, harmful, or offensive
• Infringe on intellectual property rights
• Contain personal information of others without consent
• Be spam or unsolicited advertising

6.1 Our Intellectual Property

Fyll, including its design, features, content, and underlying technology, is owned by us and protected by intellectual property laws. You may not:

• Copy, modify, or distribute the App
• Use our trademarks without permission
• Create derivative works based on the App

6.2 Your Content

You retain ownership of any content you create (meal photos, notes, reflections). By using the App, you grant us a limited, non-exclusive license to:

• Store your content on our servers
• Process your content to provide the service (e.g., AI analysis)
• Display your content back to you in the App

6.3 Feedback

If you provide suggestions, ideas, or feedback about Fyll, you grant us the right to use such feedback without compensation or attribution to you.

7.1 Nature of AI Analysis

Fyll uses artificial intelligence to:

• Analyze meal photos and estimate nutritional content
• Identify food items and ingredients
• Provide personalized insights and recommendations

7.2 AI Limitations

You understand and acknowledge that:

• AI estimates are approximations and may not be 100% accurate
• Nutrition values depend on visual interpretation and may vary from actual values
• AI cannot account for all cooking methods, portion variations, or hidden ingredients
• You should not rely solely on Fyll for critical health decisions

7.3 Continuous Improvement

Our AI models may be updated to improve accuracy. This may result in different estimates for similar meals over time.

The App provides:

• General nutritional information for educational purposes
• Wellness insights based on self-reported data
• Pattern observations between food and subjective wellbeing

The App does NOT provide:

• Medical diagnosis or treatment
• Dietary prescriptions
• Professional health advice

8.2 Consult Healthcare Professionals

You should always consult with a qualified healthcare provider or registered dietitian:

• Before starting or changing any diet or nutrition plan
• Before making decisions that could affect your health based on information from Fyll
• If you have any medical conditions, food allergies, eating disorders, diabetes, or other health concerns
• If you are pregnant, breastfeeding, or planning to become pregnant
• If you take medications that may interact with dietary changes

Do not disregard or delay seeking professional medical advice based on anything you see in Fyll.

8.3 Specific Health Conditions

If you have diabetes, kidney disease, heart disease, an eating disorder, or any condition requiring medical nutrition therapy, Fyll is not appropriate for managing your condition. Please work with a qualified healthcare team.

8.4 Emergency Situations

Fyll is not designed for emergencies. If you experience a medical emergency, contact emergency services immediately (911 in the US).

8.5 No Guarantees

We do not guarantee that using Fyll will result in:

• Weight loss or weight gain
• Improved health outcomes
• Achievement of any specific health goals

Results vary based on individual factors beyond the App's control.

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using Fyll, you consent to the data practices described in our Privacy Policy.

Fyll offers both free and premium subscription tiers.

10.1 Free Tier

The free tier includes:

• Unlimited photo meal logging
• Unlimited AI meal analysis
• Unlimited text meal entry
• Daily nutrition summary
• Basic cycle tracking
• AI chat with Phine (5 messages per day)
• Pattern insights (7-day history)
• Cycle-aware nutrition (teaser only)

10.2 Premium Subscription

Premium unlocks additional features:

• Unlimited AI chat with Phine
• Full history pattern insights
• Full cycle-aware nutrition recommendations
• Data export capability

10.3 Pricing

Premium subscription pricing (prices may vary by region and currency):

Prices shown in USD. Actual prices may vary based on your location and the app store.

10.4 Billing & Auto-Renewal

• All subscriptions are billed through the Apple App Store or Google Play Store
• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period
• Your payment method will be charged upon confirmation of purchase
• Renewal charges are billed within 24 hours prior to the end of the current period
• You can manage and cancel subscriptions in your device's account settings:
  • iOS: Settings → [Your Name] → Subscriptions
  • Android: Google Play Store → Menu → Subscriptions

10.5 Free Trial (If Offered)

If we offer a free trial:

• You will not be charged during the trial period
• At the end of the trial, your subscription will automatically convert to a paid subscription unless cancelled
• Any unused portion of a free trial is forfeited when you purchase a subscription

10.6 Cancellation

• You may cancel your subscription at any time through your device's app store settings
• Cancellation takes effect at the end of your current billing period
• You will retain access to Premium features until your current period expires
• No partial refunds are provided for unused portions of a subscription period

10.7 Refunds

• Refund requests are handled by the respective app store (Apple or Google)
• We do not directly process payments or refunds

10.8 Price Changes

• We may change subscription prices at any time
• Price changes will not affect your current subscription period
• You will be notified of any price changes before your next renewal
• Continuing to use the service after a price change constitutes acceptance

10.9 Account Status After Downgrade

If you cancel Premium or let your subscription lapse:

• You will retain access to all your data
• Premium features will become restricted
• Free tier limits will apply (e.g., 5 AI chats/day, 7-day pattern history)
• Previously exported data remains yours

10.10 Promotional Offers

We may occasionally offer promotional pricing or free trials:

• Promotional prices are temporary and will revert to standard pricing
• Promotional terms will be clearly disclosed before purchase
• One promotional offer per account unless otherwise specified

10.11 Apple App Store Terms

If you download Fyll from the Apple App Store, you also agree to Apple's Licensed Application End User License Agreement. In the event of any conflict between these Terms and Apple's EULA, Apple's EULA shall govern with respect to your use of the App obtained through the App Store.

10.12 Google Play Terms

If you download Fyll from Google Play, you also agree to the Google Play Terms of Service. Google Play is a service mark of Google LLC.

11.1 Your Right to Terminate

You may stop using Fyll at any time by:

• Deleting your account within the App (Settings → Delete Account)
• Uninstalling the App from your device

11.2 Our Right to Terminate

We may suspend or terminate your access if you:

• Violate these Terms
• Engage in harmful or fraudulent activity
• Abuse the service or other users

We will attempt to provide notice when reasonable, but may act immediately if necessary.

11.3 Effect of Termination

Upon termination:

• Your access to Fyll will cease
• Your data will be deleted according to our Privacy Policy
• These Terms will survive as applicable (e.g., limitations of liability)

11.4 Active Subscriptions Upon Termination

If you have an active Premium subscription when your account is terminated:

• Voluntary deletion: You are responsible for cancelling your subscription through Apple/Google before deleting your account. We cannot issue refunds for subscriptions you forgot to cancel.
• Termination by us (for violations): No refunds will be provided for the remaining subscription period.
• Recommendation: Always cancel your subscription in your device settings BEFORE deleting your Fyll account.

12.1 "As Is" Service

Fyll is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy of information
• Uninterrupted or error-free operation

12.2 Third-Party Services

Fyll integrates with third-party services (AI providers, cloud storage). We are not responsible for the performance, availability, or policies of these services.

12.3 No Guarantee of Availability

We do not guarantee that:

• The App will always be available
• The App will be free of bugs or errors
• Data will never be lost (though we implement safeguards)

13.1 Exclusion of Damages

To the maximum extent permitted by law, we shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, or goodwill
• Damages resulting from your use or inability to use the App
• Damages resulting from reliance on AI-generated information

13.2 Cap on Liability

Our total liability for all claims related to Fyll shall not exceed the greater of:

• The amount you paid us in the 12 months before the claim, OR
• $100 USD

13.3 Jurisdictional Limitations

Some jurisdictions do not allow certain limitations. In such cases, our liability is limited to the maximum extent permitted by law.

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of Fyll
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you provide through the App

15.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at hello@fyllapp.com and attempt to resolve the issue informally for at least 30 days.

15.2 Governing Law

These Terms are governed by the laws of the State of New York, United States, without regard to conflict of law principles.

15.3 Arbitration Agreement

Any disputes not resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court, except:

• You may bring claims in small claims court
• Either party may seek injunctive relief for intellectual property violations

The arbitration will be conducted in the English language in New York, New York, or remotely by video conference at your election.

15.4 Class Action Waiver

You agree to resolve disputes only on an individual basis and not as part of a class action.

We may modify these Terms at any time. When we do:

• We will post the updated Terms in the App
• We will update the "Last Updated" date
• For material changes, we will provide notice (in-app or via email)

Your continued use after changes constitutes acceptance. If you disagree with changes, stop using the App and delete your account.

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding Fyll.

17.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

17.3 Waiver

Our failure to enforce any right does not waive that right.

17.4 Assignment

You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.
